The rules of the road.

These Terms of Service ("Terms") govern your access to and use of Coach Desk (the "Service"). By creating an account or using the Service you agree to be bound by these Terms.

1. Eligibility & Accounts

You must be at least 16 years old and able to form a binding contract. You're responsible for keeping your credentials secure and for all activity under your account.

2. The Service

Coach Desk provides tools for coaches and consultants - including funnels, quizzes, scheduling, client management, AI-assisted content, and integrations with third-party services. We may update, add, or remove features over time.

3. Subscriptions & Payments

Paid plans renew automatically until cancelled. Fees are billed in advance and are non-refundable except where required by law. You can manage or cancel your subscription from your billing settings.

4. Acceptable Use

• Use the Service for unlawful, harmful, or fraudulent purposes.
• Send spam, harass others, or violate anti-spam laws (CAN-SPAM, GDPR, CASL).
• Reverse-engineer, scrape, or attempt to bypass access controls.
• Upload malware or content that infringes third-party rights.
• Use the AI features to generate illegal, deceptive, or harmful content.

5. Your Content

You retain ownership of content you submit to the Service. You grant us a worldwide, non-exclusive license to host, process, and display that content solely to operate the Service for you.

6. AI Outputs

AI-generated content is produced by third-party models and may be inaccurate. You are responsible for reviewing and verifying outputs before relying on or publishing them.

7. Third-Party Integrations

The Service connects to third-party platforms (Google, LinkedIn, Zoom, Stripe, etc.). Your use of those platforms is governed by their own terms, and we are not responsible for their availability or actions.

8. Intellectual Property

The Service, including its software, design, and branding, is owned by Coach Desk and protected by intellectual property laws. We grant you a limited, non-transferable license to use it under these Terms.

9. Termination

You can stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or for legal, security, or operational reasons.

10. Disclaimers

The Service is provided "as is" without warranties of any kind. We do not warrant that the Service will be uninterrupted, error-free, or that it will produce specific business results.

11. Limitation of Liability

To the maximum extent permitted by law, Coach Desk shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue. Our aggregate liability is limited to the amounts you paid us in the twelve months before the claim.

12. Indemnification

You agree to indemnify and hold Coach Desk harmless from claims arising out of your content, your use of the Service, or your violation of these Terms.

13. Changes to the Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or email. Continued use after the effective date constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the jurisdiction in which Coach Desk operates, without regard to conflict-of-law principles. Disputes will be resolved in the competent courts of that jurisdiction.
